She had to press them to be let in on them trying to sabotage the deal. It's not a true partnership of equals, even though they're saying it isI agree to some extent , but she wasn’t necessarily in favor of Kendal and Roman’s plan so technically if it was fair they still win if decisions were made on a vote.

I feel like Roman has trouble making his own decisions, he just goes along with what someone else says. We see it when they're discussing the Pearce bid, Kendall going behind his back to OK the bad press on Logan (still questionable), him supporting Kendall's suggestions for the Living Plus presentation and then pulling out because Shiv suggests it. He just goes with whatever an older Roy says at this point, it's not really fair to put anything up to a vote because he'd probably just side with Kendall
Just wild to me to see all the Shiv hate in here when they're all f***ing up pretty badly lately

Kendall turning his back on them and prioritizing himself first after their father just died, they'd be totally justified in stooping that low imo. I think Roman is being genuine about being equals with Shiv but Kendall is taking advantage of their grief. He's concerned with obtaining power for himself, that's why he wanted to tank the deal before they even knew about Matson's subscribers being inflated

Roman is simply terrible at running a company. He's the child I would most want to be friends with because I like him as a personality but putting him in charge of a company is like throwing the company in the garbage.
Shiv is not as savvy or smart as Kendall but she would be the best CEO long term. She has room to learn but she would actually run a company well because she's way smarter than Roman but stable and composed as an executive unlike Kendall.
Easy choice for who I would pick as Logan's successor.

Like someone in here said earlier, they just need to link up like Voltron. That's obviously the best solution. We see it at the end of S3 and after Logan's death. But their own greed and desire for power keeps getting in the way, I think Roman is the only one who genuinely wants an equal partnership
